These Terms of Service (“Terms”) govern your access to and use of the website, mobile application, and hardware devices provided by Barn Owl Technologies Corp (doing business as Owl Vision) (“Owl Vision,” “we,” “us,” or “our”). By accessing or using any of our services—including our website (owl-vision.ai), mobile app (eScout), or any Owl Vision devices—you agree to these Terms. If you do not agree, do not use our Services.

1. Overview

Owl Vision provides precision agricultural monitoring solutions, including hardware-based pest monitoring devices, AI-powered analytics, and a cloud-connected mobile application (eScout). These Terms apply to all users of our website, mobile app, and devices, including customers, partners, and visitors.

2. Eligibility

By using our Services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding agreement. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

You may need to create an account to access certain features of our Services. You agree to provide accurate, complete, and current information when registering and to maintain and promptly update your account details as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Purchases, Subscriptions, and Payments

  • All device and subscription purchases made through our Shopify store are subject to these Terms.
  • Our subscription plans automatically renew annually at the rate indicated at purchase (e.g., $300 per device per year) unless canceled prior to renewal.
  • You may request a full refund within 14 days of purchase, provided the device is unused and in its original packaging.
  • Refunds will not be issued after 14 days or for services already rendered.

5. Use of Services

When using our Services, you agree not to:

  • Use the Services for any unlawful or unauthorized purpose.
  • Attempt to copy, modify, reverse-engineer, or otherwise tamper with any Owl Vision hardware, software, or data.
  • Access our systems or data without authorization, or interfere with other users’ access.
  • Resell or redistribute our hardware or software without prior written consent.

6. Device Terms

Owl Vision devices are designed for agricultural pest and disease monitoring. You agree not to disassemble, modify, or tamper with the devices. Unauthorized modification voids any warranty and may violate applicable laws. Hardware is warranted against manufacturing defects for one (1) year from the purchase date.

7. Mobile App (eScout)

The eScout mobile app enables device management, image and sensor data viewing, and AI-based pest and disease prediction. By using the app, you agree to the following:

  • The app requires a stable network connection and may access your device’s Bluetooth, GPS, or camera features.
  • You grant Owl Vision permission to collect and process device data for performance, analytics, and user experience improvements as described in our Privacy Policy.
  • Owl Vision may issue updates, patches, or new versions of the app that may be automatically installed to maintain compatibility and security.

8. Intellectual Property

All content, software, images, and materials provided by Owl Vision—including the eScout application, firmware, and device designs—are the intellectual property of Owl Vision and its licensors. You may not copy, modify, or distribute any part of the Services without prior written permission.

9. Limitation of Liability

To the fullest extent permitted by law, Owl Vision, its officers, directors, employees, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or crops, arising out of or related to the use or inability to use the Services, whether based on contract, tort, or otherwise.

In no event shall our total liability exceed the amount you paid to Owl Vision for the product or subscription giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Owl Vision, its affiliates, and employees from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use or misuse of the Services, violation of these Terms, or infringement of any rights of third parties.

11. Governing Law

These Terms and any related disputes are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles.

12. Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved by binding arbitration in the State of Delaware, under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English. The decision of the arbitrator shall be final and binding, and judgment may be entered thereon in any court of competent jurisdiction.

You and Owl Vision agree to waive any right to participate in a class action or other representative proceeding.

13. International Users

Owl Vision welcomes international users. By accessing or using our Services, you consent to the transfer and processing of your information in the United States in accordance with our Privacy Policy.

14. Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, engaged in fraudulent activity, or caused harm to other users or Owl Vision. Upon termination, your right to use the Services will immediately cease, and all obligations to Owl Vision shall remain enforceable.

15. Changes to These Terms

We may update or modify these Terms at any time. Updated versions will be indicated by a revised “Last updated” date and will be effective immediately upon posting. Continued use of the Services after any changes constitutes your acceptance of the revised Terms.
